Terms of Service

Last updated: October 13, 2026

Please read these terms carefully. They explain how we work with you, how payment works and what you can expect from us.

1. Agreement

These Terms of Service (“Terms”) govern all consulting services provided by Juergen Consulting LLC (“we”, “us”, “our”) to its clients (“you”). By accepting a written proposal, booking a package or paying an invoice, you agree to these Terms. Our Refund & Cancellation Policy and Privacy Policy form part of these Terms.

2. Our services

We provide business consulting services, in particular:

  • Strategic planning
  • Process optimization
  • Change management

The scope, deliverables, timeline and price of each engagement are defined on our website (for standard packages) or in a written proposal. If a written proposal conflicts with these Terms, the proposal prevails for that engagement.

3. What we do not provide

We do not provide legal, tax, accounting, investment or other regulated financial advice, and we do not hold, manage or transfer client funds. Our recommendations are business advice; all decisions and their implementation remain your responsibility. We do not guarantee specific business results, revenue or savings.

4. Prices and payment

  • All prices are stated in U.S. dollars (USD) and exclude applicable taxes.
  • After you accept a proposal or book a package, we send an invoice with a secure online payment link. Payments are processed by a third-party payment provider (Stripe). We never see or store your full card details.
  • One-time packages are paid in full before the engagement starts.
  • The Implementation Retainer is billed monthly in advance. It has a minimum term of 3 months; after that, either party can end it with 30 days' written notice.
  • Larger engagements may be paid in milestones as stated in the proposal.
  • Invoices are due within 7 days unless the proposal states otherwise. If a payment is overdue, we may pause work until it is received.
  • We do not charge recurring fees unless you have agreed to them in writing.

5. Scheduling and cooperation

To deliver on time, we need timely access to the information, people and systems agreed in the proposal. Delays caused on your side may extend the timeline. Sessions can be rescheduled as described in our Refund & Cancellation Policy.

6. Cancellation and refunds

Cancellations and refunds are governed by our Refund & Cancellation Policy, available at /refund-policy.

7. Confidentiality

Both parties will keep confidential all non-public information received from the other party and use it only for the engagement. This obligation continues after the engagement ends. On request, we sign a mutual non-disclosure agreement before the kick-off.

8. Deliverables and intellectual property

Once paid in full, you may use all deliverables created for you (reports, process maps, plans, SOPs) without time limit for your internal business purposes. We keep all rights to our general methods, templates, tools and know-how, and we may reuse them in other engagements without disclosing your confidential information.

9. Limitation of liability

To the maximum extent permitted by law, our total liability arising from any engagement is limited to the fees you paid for that engagement. We are not liable for indirect, incidental or consequential damages, including lost profits or lost data.

10. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law rules. Courts located in Miami-Dade County, Florida, have exclusive jurisdiction, unless mandatory consumer protection law provides otherwise.

11. Changes to these Terms

We may update these Terms from time to time. The version published on our website at the time you accept a proposal or book a package applies to that engagement.
